Terms and Conditions for Service Providers (Media Partners)*

1. Tasks

1.1. Task Assignment

Service Providers receive task offers through the Adsy platform. Each task represents an assignment from Adsy, performed on behalf of a Client. Service Providers must review a task offer and either accept or decline it within five (5) calendar days of receipt.

1.2. Task Expiration

A task offer automatically expires if:

  • It remains in the “Your Acceptance” status for more than three (3) working days; or
  • It remains in the “In Progress” status for more than ten (10) calendar days without submission for review.

Adsy may also cancel a task at its discretion if fraud, inaction, or inactivity is detected.

1.3. Task Acceptance and Performance

Upon accepting a task, the Service Provider agrees to complete it in full compliance with the specifications and quality requirements communicated through the Adsy system.

All communications, instructions, and deliverables must be transmitted exclusively via Adsy’s internal interface. Direct communication with Clients outside the Adsy platform is prohibited.

1.4. Task Requirements

Each completed task must fully meet the requirements defined in the assignment. Service Providers are responsible for ensuring that all deliverables adhere to Adsy’s content quality, formatting, and ethical standards, as well as applicable laws.

1.5. Relationship Clarification

All Service Provider activities are performed under Adsy’s direction and responsibility. Service Providers act solely as independent contractors of Adsy. No direct contractual, financial, or legal relationship exists between Service Providers and Clients.

1.6. Service fees payable to Service Providers are determined by Adsy based on platform standards and may take into account the Service Provider’s published rates.

1.7. If Adsy determines that a Service Provider has breached quality or publication obligations, Adsy may adjust future compensation or offset the value of the affected service in its internal accounting records. Adsy does not hold or refund Client funds on behalf of Service Providers.

1.8. Changes to the content published and approved by the Client are not allowed. It is also forbidden to place any other links, advertisements, or similar content in the task content other than those specified by the Client.

1.9. The Client has the right to return to the Service Provider for a redo if the task is not meeting the specified task requirements. No more than 3 task revisions may be made by the Client; thereafter, the Client is obliged to make an internal accounting adjustment to the Service Provider.

1.10. In case of:

  • Client returns the task for redoing more than 3 times, or
  • Client fails to send the redoing conditions to the Service Provider within three calendar days,

The Service Provider has the right to appeal to the Administration about the acceptance of the task performed and an internal accounting adjustment.

1.11. All correspondence between Clients and Service Providers is stored on the Adsy server and can be used by the Administration in resolving disputes.

All information regarding tasks and payments received by Service Providers from Clients is confidential and not to be distributed.

1.12. Service Provider’s platforms should be open for all without prior registration. Specific platform entries may be closed and hidden, but all paid entries must be opened.

1.13. The Service Provider undertakes not to delete, mask, or modify link text and/or link(s), alter the content of the publication, or hinder the indexing or following of crawler or visits. Posts published on the requested pages must stay there for at least 90 days from the publication date.

1.13.1. The Service Provider agrees that in case any such issues are discovered, the Adsy team may restrict their account, remove the site(s) from inventory, reduce their rating(s), and withhold the cost of the publication from their balance.

1.14. Adsy reviews and resolves all disputes involving Service Providers under these Terms. Service Providers shall not engage directly with Clients regarding disputes.

1.15. Administration has the right to suspend the Service Provider's account in the event of any breach of these Terms and Conditions, direct or indirect, for the time needed to ascertain the circumstances of such breach, or delete the Service Provider's account.

1.16. Upon account suspension or deletion, Adsy completes all pending internal accounting adjustments for completed and approved tasks. All valid compensation due to the Service Provider for such tasks will be processed in accordance with Adsy’s regular payout schedule.

Adsy will settle any remaining positive accounting record through the Service Provider’s verified payment method on record. If no valid payment details are available, Adsy will notify the Service Provider by email regarding the outstanding accounting entry. In such cases, the Service Provider must coordinate with Adsy to confirm the preferred method and timing for executing the corresponding payout.

1.17. Once a task is assigned, Adsy records the corresponding service fee in its internal accounting system. Upon approval of the completed task, Adsy Credits the Service Provider’s account with the applicable compensation, payable in accordance with Adsy’s regular payment schedule. These accounting records do not represent funds held in custody or escrow.

1.18. Website Requirements

Websites submitted by Service Providers for participation in Adsy Services must meet Adsy’s quality, legal, and technical standards.

General Requirements:

  • Must contain unique, readable, and regularly updated content;
  • Must not be hosted on free web-hosting services;
  • Must be accessible without mandatory registration for all paid publications;
  • Must comply with U.S. law, Google Content Policies, and Adsy Content Guidelines.

Quantitative Requirements:

  • Case 1: More than 100 pages indexed by Google and Ahrefs Organic Traffic exceeding 10,000;
  • Case 2: At least 50 pages indexed by Google, Domain Authority/Rating ≥ 15, MOZ Spam Score ≤ 30 %.

Prohibited Website Categories: Adult / Dating / Gambling / Sports Betting / Competitive Services / Marketplaces / Binary Options / Hacking or Unlicensed Software / Occult Services / Counterfeit Goods / Smoking and Tobacco / Alcohol / Weapons / Forums / Classifieds / Fraud / Financial Pyramids / Forex Trading / Unlicensed Medical or Pharmaceutical Websites.

Adsy may reject or later remove any website that, in its reasonable judgment, fails to meet these standards or whose quality or compliance deteriorates. All moderation decisions are made solely by Adsy.

1.19. Removal of Websites with Active Tasks

Suppose a Service Provider removes a website from Adsy before an associated task reaches the “Completed” status. In that case, Adsy will adjust its internal accounting records accordingly and release the equivalent Adsy Credits to the Client’s account.

This adjustment reflects the correction of Adsy’s internal balances and does not constitute a refund or transfer of funds between users.

1.20. Multiple Accounts

Service Providers may maintain only one active account. Adsy may suspend or merge duplicate accounts that appear to belong to the same individual or entity. New accounts duplicating existing profiles will not be accepted. Adsy may restrict sales or payouts from such accounts pending verification.

1.21. Adding Websites

Service Providers must add websites through Adsy’s designated interface (https://cp.adsy.com/provider/platform/add-website or https://cp.adsy.com/provider/platform/add-websites).

Before uploading, the Service Provider must accept the Adsy Terms and Conditions.

When using bulk-upload options (“List of websites” or “Upload via file”), Adsy will review up to 100 websites that meet the requirements of Clause 1.18. Additional websites will remain “On Hold” until the Service Provider completes at least five tasks through the Adsy system.

1.22. Service Provider Representations, Warranties, and Indemnity

(a) The Service Provider represents and warrants that it: – is the lawful owner, operator, or authorized administrator of all websites, media channels, or digital properties (“Platforms”) submitted to Adsy; – has full legal right, authority, and technical capability to publish, distribute, or otherwise place content provided or arranged by Adsy on such Platforms; – will not offer, sell, or provide access to any placement opportunity that violates applicable law, third-party rights, or the terms of service of the Platform’s hosting provider or domain registrar; – will ensure that all placements and publications are made in compliance with applicable advertising, consumer protection, and content regulations in each jurisdiction where such materials are accessible.

(b) The Service Provider further represents that it holds all necessary rights, licenses, consents, and permissions required to publish or display content provided by Adsy, including, where applicable, those relating to regulated industries such as gambling, finance, healthcare, or pharmaceuticals.

(c) The Service Provider shall ensure that each publication made through Adsy’s system remains accessible and compliant for at least ninety (90) days from the date of posting, unless otherwise instructed by Adsy.

(d) The Service Provider agrees to defend, indemnify, and hold harmless Adsy, its affiliates, officers, employees, and contractors from and against any claims, regulatory actions, fines, penalties, damages, or expenses (including reasonable attorneys’ fees) arising out of or relating to: – any unauthorized publication or use of third-party websites or media properties; – any alleged or actual violation of applicable law, advertising regulation, or third-party rights related to a placement; – any administrative, civil, or criminal penalties imposed on Adsy as a result of noncompliant or unauthorized publication by the Service Provider.

(e) Upon request, the Service Provider shall provide Adsy with documentation or other reasonable evidence confirming ownership or authorization to operate and publish on any Platform used for Adsy Services.

(f) These representations, warranties, and indemnification obligations survive termination of this Agreement.

2. Service Provider Compensation

2.1. General Rule

Adsy processes compensation to Service Providers for tasks completed and approved within the platform. Such compensation represents payment for services rendered to Adsy, not a transfer of funds from Clients.

2.2. Payment Processing

Adsy maintains internal accounting records of compensation due to each Service Provider. When payment is executed, Adsy issues the corresponding amount using the payment method selected by the Service Provider in their account settings.

Service Providers are responsible for ensuring that their payment details are accurate. Once Adsy executes a payment to the specified payment details, the payment is considered completed.

2.3. Service Fees

Adsy may deduct an operational service fee to cover transaction and administrative costs associated with payment execution. The applicable rate depends on the chosen payment method and is displayed on the Service Provider’s dashboard before each payment.

2.4. Minimum Payment Threshold

The minimum payable amount is sixty (60) U.S. dollars (USD). Balances below this threshold remain recorded until the next eligible payout.

2.5. Payment Currency

All compensations are processed in U.S. dollars (USD). Adsy does not process, convert, transmit, or settle any payments in virtual or digital currencies (including USDT, cryptocurrencies, or tokens).

*During the migration of Adsy’s internal systems and interfaces, Service Providers may also be identified as “Media Partners.” This naming convention does not alter their legal status or relationship with Adsy as defined under these Terms.
